Terms of Service

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using the Service provided by Weldme OÜ ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms").

Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. DESCRIPTION OF SERVICE

Weldme OÜ provides an AI-powered software platform containing tools for content processing, analysis, and productivity enhancement ("Service"). The specific features and limitations depend on your subscription plan.

3. USER ACCOUNTS AND SECURITY

  • Registration: You must provide accurate and complete information when creating an account.
  • Security: You are responsible for maintaining the confidentiality of your credentials. You are solely responsible for all activities that occur under your account.
  • Notification: You must notify us immediately of any unauthorized use of your account.
  • Prohibition: Sharing accounts (sharing login credentials) is strictly prohibited. Each seat/license is for a single named individual unless an Enterprise plan specifies otherwise.

4. SUBSCRIPTION PLANS, LIMITS, AND BILLING

4.1 Plans

Access to features is tiered. Current plans and specific limits are detailed on our Pricing Page.

Free Limited access to basic tools. Strict monthly usage cap. No rollover.
Starter Standard usage limits. No rollover. Standard support.
Pro Higher usage limits (e.g., API calls/credits). Priority processing. Limited rollover (see 4.3).
Enterprise Custom limits, dedicated support, custom legal terms.

4.2 Usage Limits

Usage is measured in credits/tokens/requests. If you exceed your plan's limit, the Service will pause until the next billing cycle or until you upgrade/purchase add-ons.

4.3 Rollover Policy

For specific paid plans (as indicated on the Pricing Page), unused credits may roll over to the next month, capped at 1x your monthly allowance. Rolled-over credits expire after 30 days. Free plan credits never roll over.

4.4 Fair Usage Policy (FUP)

"Unlimited" plans are subject to our Fair Usage Policy to prevent abuse. FUP limits are set at 300% of the average user usage. We strictly prohibit automated scraping, botting, or sharing accounts to bypass limits. Violations will result in immediate throttling or suspension.

4.5 Billing and Auto-Renewal

  • Fees: Fees are billed in advance on a monthly or annual basis.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before renewal.
  • Taxes: All prices are exclusive of VAT and other taxes unless stated otherwise. You are responsible for all applicable taxes.
  • Payment Failure: If payment fails, we will retry for 3 days. If unsuccessful, your account will be downgraded or suspended.

5. CANCELLATION AND REFUNDS

  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation stops future auto-renewals; your access continues until the end of the current paid period.
  • Refunds: Payments are non-refundable, except where required by law. We do not provide refunds for partial months or unused quotas.
  • Chargebacks: Any unwarranted chargeback or payment dispute will result in immediate permanent termination of your account and a ban from future use. We reserve the right to report payment fraud to relevant authorities.

6. INTELLECTUAL PROPERTY AND CONTENT

6.1 Company IP

The Service, including its code, design, algorithms, models, and "Estiq" brand, is the exclusive property of Weldme OÜ and its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service.

6.2 User Content Ownership

You retain all ownership rights to the content you upload ("Input") and the content generated for you ("Output"). You are solely responsible for the legality and accuracy of your User Content.

6.3 License to Company

You grant us a worldwide, royalty-free license to host, copy, and process your User Content solely for the purpose of providing the Service to you (e.g., generating the requested output).

6.4 AI Training Policy

We respect your intellectual property. We DO NOT use your User Content to train our core AI models. Your data remains isolated. We use third-party AI models (Processors) with strict zero-retention settings where technically feasible.

7. PROHIBITED USES (ACCEPTABLE USE POLICY)

You agree NOT to use the Service to:

  1. Generate hateful, illegal, sexually explicit, or violent content.
  2. Reverse-engineer, decompile, or extract source code or model weights.
  3. Build a competing product using our outputs.
  4. Scrape, automate, or access the API via unauthorized means.
  5. Send spam or phishing content.
  6. Infringe upon the intellectual property or privacy rights of third parties.
  7. Bypass security measures or payment gates.

8. TERMINATION

We reserve the right to suspend or terminate your account immediately, without notice and without refund, if you violate these Terms, specifically for:

  • Breach of the Acceptable Use Policy.
  • Payment fraud or chargebacks.
  • Account sharing.

Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WELDME OÜ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM VIRUSES. WE DO NOT GUARANTEE THE ACCURACY OF AI-GENERATED CONTENT.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. INDIRECT DAMAGES: WELDME OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.
  2. CAP ON LIABILITY: OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Weldme OÜ and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from: (a) your misuse of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights (including IP or privacy rights).

12. FEEDBACK

If you provide feedback, suggestions, or ideas regarding the Service, you assign all rights in such feedback to us independently and without compensation. We may use it freely to improve our products.

13. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Republic of Estonia. Any dispute arising out of or in connection with these Terms, including regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia.

14. MISCELLANEOUS

  • Entire Agreement: These Terms constitute the entire agreement between you and us.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Failure to enforce a right does not constitute a waiver.
  • Assignment: You may not assign these Terms. We may assign these Terms to an affiliate or successor.
  • Force Majeure: We are not liable for delays caused by events beyond our reasonable control (e.g., wars, strikes, internet outages, natural disasters).
